In order to determine your eligibility to receive the prize supplied by Semrush Inc. (“Semrush”, “Sponsor”) for these Sweepstakes, Semrush requires that you review and agree to these Official Rules before your participation in these Sweepstakes. By participating, Entrants agree to be bound by these Official Rules and the decisions of Semrush, which are final and binding in all respects, and you acknowledge that you satisfy all eligibility requirements. All information furnished to Semrush will be subject to Semrush's privacy policy, located at: www.semrush.com/privacy-policy/

ELIGIBILITY: Open only to persons who enter by following the instructions in a pop-up notification corresponding to these sweepstakes in the account of a Semrush user, are 18 years of age or older, who made a registration at Semrush during the period of June 1, 2021 - October 10, 2021 (the “Registration Period”), has a paid Semrush subscription at the moment of sweepstakes entry and at least during the Sweepstakes Period, has entered the Semrush Site Audit Service and setted the project at least once during the Registration Period start day and end day of the Sweepstakes Period (the “Entrant”). Employees, officers, and directors, and the immediate family members (i.e. spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and household members (whether or not related) of such individuals of the Sponsor (as described hereinafter), and other companies associated with the promotion of the Sweepstakes, and each of their respective parents, subsidiaries, affiliates are not eligible to participate in the Sweepstakes. This Sweepstakes is open to legal residents in the United States of America only. All applicable federal, state and local laws and regulations apply. Void where prohibited or restricted by law.

SWEEPSTAKES PERIOD: The Sweepstakes entry period begins at 8:00a.m. (ET) on October 15, 2021 and ends at 8:00p.m. (ET) on November 15, 2021 (the "Sweepstakes Period"). Winners will be selected from entries properly submitted and timely received during the Sweepstakes Period.

HOW TO ENTER: The Entrant must be compliant with the Eligibility requirements and follow the instructions in the pop-up notification corresponding to these sweepstakes in the account of a Semrush user to be eligible to win a prize (the “Sweepstakes”). Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Semrush. Limit One (1) entry per person, per Semrush account, per e-mail address during the Sweepstakes Period via online entry, regardless of whether a person has more than one address or more than one person uses the same address or Semrush account.

WINNER SELECTION: Winners will be determined by random drawing to be held on or about November 15, 2021. Winner will be selected from entries received during the Sweepstakes Period. The winner will be notified via email that the participating Semrush account is registered to, within one (1) week after the drawing. The drawing will be conducted by Semrush, whose decisions on all matters relating to the Sweepstakes shall be final. In the event that a winner is disqualified for any reason, or a winner does not respond to notification from Semrush, and/or does not provide Semrush with an information for the prize delivery within one (1) week, and/or is not present when the prize delivery is attempted, Semrush may, in its sole discretion, forfeit the prize for such winner and award the applicable prize to an alternate winner selected at random.

If a winner does not respond to notification, or is not present when prize delivery is attempted, such prize will be forfeited.

PRIZES/ODDS: Up to 260 winners will receive 1 (one) Semrush-branded t-shirt. Approximate retail value per shirt = $10.00 with included free standard shipping to the United States. Semrush reserves the right to substitute an item of equal or lower value if any items listed above are out of stock or otherwise unavailable. Actual/appraised value may differ at time of prize award. The specifics of the prize shall be solely determined by Semrush. No cash or other prize substitution permitted except at Semrush's discretion. The prize is non transferable. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted.

CONDITIONS: Semrush reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes (or portion thereof). Semrush also reserves the right at its sole discretion to disqualify the entry of any individual. All federal, state and local taxes on prize and any expenses not specified herein are the sole responsibility of the winner. Should a dispute arise regarding the identity of the claimant, Semrush reserves the sole right to determine the eligible party. By entering, Entrant waives all rights to bring (and covenants not to bring) any claim against Semrush or any others associated with this Sweepstakes. Entrants further agree to release and hold harmless Semrush from any and all liability arising from their participation in the Sweepstakes, or Semrush’s use of any entry information as described herein, including but not limited to, waiving all rights to any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest or delivery, misdelivery, acceptance, possession, use of or inability to use any prize (including claims, costs, injuries, losses and damages related to rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SEMRUSH OR THE RELEASED PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED TO YOUR PARTICIPATION IN THE SWEEPSTAKES OR USE OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE CONTEST OR ANY PRIZE, EVEN IF A RELEASED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES (JOINTLY) ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE CONTEST OR USE OF OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE CONTEST OR ANY PRIZE EXCEED $10.

Any disputes that may arise hereunder shall be governed in all respects by the laws of the Commonwealth of Massachusetts without regard to the conflicts of laws principles of any jurisdiction. Venue with respect to any such disputes shall be had in the state and federal courts of the Commonwealth of Massachusetts.

PUBLICITY AND RELEASE. As a condition of entry into the Sweepstakes, except where prohibited by law, each Entrant and each winner by accepting a prize grants to Semrush, all right, title and interest in to publicize, broadcast, display and/or otherwise use the Sweepstakes Entrant’s name, city, state, place of work and biographical material (collectively, “Licensed Rights”) in any media for advertising and publicity purposes, without additional review, compensation, or approval of the winner.
